Confidentiality Agreement
It is hereby agreed as follows:
Youth Entrepreneurship Club intends to disclose to the Recipient from time to time, certain information about Youth Entrepreneurship Club’s business and/or it’s client’s business (including, without limitation, its facilities, organization, operations, technology, services and products). Therefore, this written agreement is required in order for the Recipient to understand and comply with his confidentiality and data protection obligations.
- Confidential Information
a) “Confidential Information” means any information obtained or accessed from or on behalf of Youth Entrepreneurship Club, that relates to the past, present or future business activities of Youth Entrepreneurship Club, or any of their respective employees, customers, counterparties, or third party suppliers and/or contractors, including all Services, the terms and conditions of this Confidentiality Agreement and any information relating to the applicable entity’s (or person’s) plans, pricing, methods, methodologies, processes, financial data, lists, intellectual property rights, customer information, apparatus, statistics, programs, research, development, and/or information technology (including all information pertaining to the design, programming and data contained in any computer software, hardware, files, data, data files or systems of youth entrepreneurship club, obtained or accessed while providing Services), and any and all non-public information of any form obtained or accessed through the performance of the Services.
b) Except with respect to Personal Information, Confidential Information does not include any particular information to the extent that the undersigned can demonstrate that such information (i) is or becomes publicly available other than via an unauthorized act/omission by the undersigned Recipient, (ii) was publicly available before the first time of disclosure of such information to Recipient (the “Time of Receipt”), (iii) was known to the undersigned free from any obligation to keep it confidential prior to the Time of Receipt, (iv) was independently developed by the Recipient without any use of the Confidential Information, or (v) was rightfully obtained by the Recipient from a third party lawfully in possession of the Confidential Information who is not bound by confidentiality obligations with respect to such information.
c) It is agreed that the Recipient holds all Confidential Information in trust and confidence for Youth Entrepreneurship Club and, except as set forth in this Agreement or as otherwise may be authorized by Youth Entrepreneurship Club’s CEO in writing, will not disclose to any person, firm or enterprise, or use for his benefit, any Confidential Information. He will treat all Confidential Information with the same degree of care that he treats his sole confidential or proprietary information, but in no event less than using standards of reasonable care. He may discloses Confidential Information to other Recipient employees, and to any other Supplier contractors who agree to confidentiality obligations with respect to such Confidential Information that are substantially equivalent to those set forth in this Confidentiality Agreement, solely to the extent necessary for Recipient to perform its obligations under the Agreement.
- Personal Information
The Recipient hereby acknowledges that Υouth Εntrepreneurship Club is subject to certain privacy and information security laws and regulations, pursuant to which the applicable youth entrepreneurship club entity is required to ensure that the Recipient, appropriately safeguard personal, personally-identifiable and/or financial information regarding former, current and/or prospective clients, customers, investors and/or employees of youth entrepreneurship club (“Personal Information”). To the extent the Recipient receives any confidential Personal Information as a result of his performance, and notwithstanding anything to the contrary contained in this Confidentiality Agreement, he agrees that he will:
a) disclose the Confidential Information only to youth entrepreneurship club partners or Workers or Interns or Volunteers who have a nccd to know it and who have agreed to adhere to the provisions of this Section 2
b) not use or process any Personal Information or transmit Personal Information outside of his employer’s usual place of business (excluding off-site security backup) except to the extent necessary to carry out his obligations under the Agreement and for no other purpose;
c) not disclose any Confidential Information to any third party, without the prior written consent of the Youth Entrepreneurship Club’s CEO, or any business secrets nor databases, including names, contact details or emails, supplied by Youth Entrepreneurship Club or obtained as a result of the collaboration with youth entrepreneurship club, and use its best efforts to prevent any unauthorized disclosure to third parties. The Recipient accepts that such information is valuable and secret, and that unauthorized disclosure of such information would be likely to cause the other party unquantifiable loss and damage.
d) not use, reproduce, sell, offer for sale or otherwise commercially exploit or make any use whatsoever of the Confidential information without youth entrepreneurship club’s prior written consent;
e) return the Confidential Information and all copies thereof to youth entrepreneurship club promptly at any time upon youth entrepreneurship club’s written request (e-mail is accepted);
f) not write any negative comments about youth entrepreneurship club’s ongoing projects, ongoing or past internships, opinions or names about employees, interns or clients in any social networks, professional networks, blogs or any internet platform, community, portal or website without youth entrepreneurship club’s CEO prior written consent;
g) promptly provide such information regarding his privacy and information security systems, policies and procedures as Barclays may request relating to its due diligence and oversight obligations under applicable laws and regulations
- The Parties agree that the foregoing confidentiality obligations do not apply to any information proven by the Recipient:
a) to have been the public domain at the time of disclosure by Youth Entrepreneurship Club, except databases, including names, contract details or emails,
b) to have been rightfully obtained by the Recipient from a third party that has no obligation of confidentiality to youth entrepreneurship club with respect thereto; or
c) to be required to be produced by the Recipient pursuant to government laws or regulations of judicial orders. The Recipient should notify promptly in writing youth entrepreneurship club that such production has been requested, and take all the reasonable steps to protect the information produced from public disclosure
- The Recipient acknowledges and agrees that the Confidential Information is Youth Entrepreneurship Club’s sole property and that this Agreement does not convey or grant to the Recipient any title rights, license to or any interest in such Confidential Information.
- The Recipient:
a) acknowledges and agrees that all written coding, materials, artwork, ideas, concepts and other property (collectively “Materials”) created by him in performing the services, will become and remain youth entrepreneurship club’s property and will be considered specially ordered to youth entrepreneurship club all rights as a “work made for hire”,
b) hereby assigns and conveys to youth entrepreneurship club all rights title and interest in and to the Materials including the right to use and dispose the Materials in any way and for any purpose that Youth Entrepreneurship Club sees suitable, and
c) agrees not to comment any information or opinion on internet platforms - Return of Confidential Information and Personal Information
At any time, at the request and option of Youth Entrepreneurship Club, and in the event of termination or expiration of the Agreement, the Recipient agrees to promptly:
a)return to Youth Entrepreneurship Club, as directed by the last one, the Confidential Information and/or Personal Information, as applicable, in the Recipients’s possession or
b)with youth entrepreneurship club CEO’s prior written approval, destroy or permanently erase (on all forms of recordation) the Confidential Information and/or Personal Information, as applicable, in his possession, and if requested by youth entrepreneurship club, acknowledges in writing that all such Confidential Information and/or Personal Information, as applicable, has been destroyed or permanently erased.
- Personal Account Dealing Policy; Background Checks
If required by Youth Entrepreneurship Club’ compliance department, the Recipient will comply with Youth Entrepreneurship Club’ Personal Account Dealing Policy. He hereby acknowledges and agrees that he may be required to provide personal information and/or may be subject to finger printing and public criminal record checks consistent with Youth Entrepreneurship Club’s practices with respect thereto. He agrees not to hold Youth Entrepreneurship Club liable for any claim in connection with such checking or testing or any reporting of the results thereof to Youth Entrepreneurship Club. He acknowledges that any determination of sufficiency, satisfaction or appropriateness with respect to any such checks or tests shall be in the sole determination of Youth Entrepreneurship Club. ]
- Duration
This Agreement will commence on the date first written above and continue thereafter for a period of ten (10) years.
- Sanctions
In case any of the clauses, or obligations mentioned in this agreement are not fulfilled by the Recipient, a fine of £50.000 (pounds) will be charged to the Recipient for damages.
- This Agreement constitutes the entire agreement between the Parties as to the Confidential Information and supersedes any prior agreements or understandings between them whether written or oral about these matters.
- This Agreement may be modified only by a written amendment signed by both parties. Nothing contained herein is intended or will be construed to require the parties to enter into any agreement; if they decide to do so, they will sign a separate agreement for such transactions.
- Any disputes arising in connection with the validity, interpretation, construction and performance of this Agreement, which the Parties are unable to resolve amicably within a period of thirty (30) days, shall be settled in accordance with Greek substantive law, to the exclusion of any other national legislation.
- Jurisdiction
The Parties hereby designate the ‘Protodikeio Chanion’ as the only court having jurisdiction to settle disputes arising therefore.
In witness whereof, the parties have caused their duly authorized representatives to execute this Agreement in duplicate.
